These Terms of Service ("Terms") govern your access to and use of the website located at brookwoodaudio.com and any professional services provided by Brookwood AV LLC ("Company," "we," "our," or "us"). By accessing our website or engaging our services, you agree to be bound by these Terms.

1. Use of Website

You may use our website for lawful purposes only. You agree not to:

• Use the website for any unlawful purpose or in violation of any applicable law
• Attempt to gain unauthorized access to any part of our website or systems
• Interfere with or disrupt the operation of the website
• Use automated systems, bots, or scrapers to access the website without permission
• Transmit any harmful, offensive, or disruptive content through our contact form
• Impersonate any person or entity or misrepresent your affiliation

2. Professional Services

Brookwood AV LLC provides professional audio/visual installation, home automation, network infrastructure, and display calibration services. All professional service engagements are governed by a separate written Service Agreement executed between Brookwood AV LLC and the client. In the event of any conflict between these Terms and a signed Service Agreement, the Service Agreement controls.

Services include but are not limited to: AV system design and installation, ISF-certified display calibration, Dirac Live room correction, Home Assistant consulting and implementation, and network infrastructure solutions.

3. Quotes, Estimates, and Payments

• All quotes and estimates are valid for 30 days unless otherwise stated in writing
• Prices are quoted in US Dollars
• A deposit may be required prior to scheduling or ordering equipment
• Final pricing may vary from estimates due to unforeseen site conditions, scope changes, or material cost fluctuations
• Payment terms are specified in individual Service Agreements
• Overdue balances are subject to a 1.5% monthly finance charge

4. Scheduling and Cancellations

• Appointments may be cancelled or rescheduled with at least 48 hours' notice at no charge
• Cancellations with less than 48 hours' notice may be subject to a trip/cancellation fee
• We reserve the right to reschedule appointments due to circumstances beyond our control

5. Intellectual Property

All content on this website - including text, graphics, logos, images, and design - is the property of Brookwood AV LLC and is protected by copyright and applicable intellectual property laws. You may not reproduce, distribute, or create derivative works from our content without prior written permission. Limited use for personal, non-commercial reference is permitted with attribution.

6. Third-Party Products and Services

Our services involve third-party hardware, software, and platforms including but not limited to Home Assistant, ISF (Imaging Science Foundation) calibration standards, Dirac Live, UniFi networking products, and various AV manufacturers. We are not responsible for the availability, functionality, or support policies of third-party products. Your use of third-party products is governed by their respective terms and warranties. Changes to third-party firmware, APIs, or services may affect functionality; we are not liable for such changes.

7. Client Responsibilities

To enable us to deliver our services effectively, you agree to:

• Provide accurate and complete information about your project requirements
• Ensure safe and reasonable access to your property for scheduled work
• Disclose any relevant property conditions, existing infrastructure, or constraints
• Obtain any required permits or HOA approvals prior to installation
• Ensure that you have authorization to install equipment in the premises
• Promptly review and sign required documentation

8. Warranty and Workmanship

Brookwood AV LLC warrants its workmanship for a period of 90 days from project completion under normal use conditions. This warranty covers labor defects directly attributable to our installation. Equipment and product warranties are provided by their respective manufacturers; we will assist in facilitating warranty claims where applicable. This workmanship warranty does not cover damage resulting from misuse, unauthorized modification, acts of nature, power surges, or third-party interference.

9. Disclaimer of Warranties

THE WEBSITE AND ITS CONTENT ARE PROVIDED "AS IS" WITHOUT WARRANTY OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE WEBSITE WILL BE UNINTERRUPTED, ERROR-FREE, OR FREE OF HARMFUL COMPONENTS.

10. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, BROOKWOOD AV LLC'S TOTAL LIABILITY FOR ANY CLAIM ARISING FROM WEBSITE USE SHALL NOT EXCEED ONE HUNDRED US DOLLARS ($100.00). FOR PROFESSIONAL SERVICES, LIABILITY SHALL NOT EXCEED THE AMOUNT ACTUALLY PAID FOR THE SPECIFIC SERVICE GIVING RISE TO THE CLAIM. IN NO EVENT SHALL WE BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES.

11. Indemnification

You agree to indemnify, defend, and hold harmless Brookwood AV LLC, its members, employees, and contractors from and against any claims, liabilities, damages, losses, or expenses (including reasonable attorneys' fees) arising from your use of our website, violation of these Terms, or misrepresentation of information provided to us.

12. Governing Law and Dispute Resolution

These Terms are governed by the laws of the State of Alabama, without regard to conflict of law principles. Any disputes shall first be attempted to be resolved through good-faith negotiation. If unresolved, disputes shall be submitted to binding arbitration in Mobile County, Alabama, under the rules of the American Arbitration Association. Class action waiver: you agree to resolve disputes individually and not as part of a class action.

13. Termination

We reserve the right to terminate or suspend access to our website or services at any time, with or without cause or notice. Upon termination of a service engagement, your obligation to pay for services rendered remains. Provisions of these Terms that by their nature should survive termination (including IP, liability, indemnification, and governing law sections) shall survive.

14. Changes to Terms

We reserve the right to modify these Terms at any time. Material changes will be posted on this page with an updated date. Continued use of our website or services after changes constitutes acceptance of the revised Terms.
